PC upgrade: Are these components good together?

Hello,
I have a 5 year old PC (intel i7 860 etc) and look to upgrade. I'm looking to use the following setup.

GPU: MSI GeForce GTX 970 GAMING 4G
CPU: Intel Core i5 4690k
Motherboard: MSI B85-G41 PC Mate
Memory: 4x Kingston 4GB
Cooling: Cooler Master Hyper TX3 Evo.
I already have the case and the PSU. However my two questions are:
PSU: Chieftech AP5 - 850C (850W) is this PSU good for this setup. I have heard I might want to buy a new one as they might not work as well.
Are the components compatible with eachother.
And the third question: The motherboard, is it good or is there a better recommendation. Money is not an issue as long as it's under 1000 -1100 euros.

You have some issues to fix
The B motherboard is a business class board that wont let you overclock , and you have an unlocked processor for overclocking .
Ideally change the board to one with a Z97 chipset .

The TX3 evo is small . Use a Hyper 212 .

and use 2 x8 gig of RAM , or if you need to save some money then 2 x4 gig is fine for gaming . More wont improve performance
