Which would be a better upgrade

I have been playing GTA V and my CPU is holding by GPU back (Gtx 970). so should I upgrade to an over clock ready mobo and a CPU cooler to over clock my fx6300 or just get an i5 and a mobo. I have a 200 or less budget

Since you are specifically targeting GTA V to play, I would go with the i5-4690k and a z97 motherboard and overclock. GTA V scales well with cpu.
This means you would want after market cooling as well.
This is like the best scenario for GTA V and costs the most. $360 if you go with a cheap cooler like the cm hyper 212 evo.
230$ for cpu
100$ for z97 motherboard
30$ for Cm hyper 212 evo

I wouldn't bother upgrading to amd, you could go for an i5-4460 with an h97 motherboard. This would still probably run around $260. $180 cpu and $80 motherboard.

You need about 250 for the cheapest i5 and a H97 board. Try overclocking and see if that makes a difference.

I dont think that would really be a great idea, I wouldnt buy anything now and just wait a while till you have the money to spend on an i5.
 
I say save up the extra money you need for an i5, the money you will spend on a new motherboard to overclock your current CPU will cost more than what you will get out of it. You might squeeze out a few extra frames but that's about it. Put it this way, you will probably be disappointed with the extra performance from an overclock especially since you are trying to utilize your 970, where as if you go with an i5 you won't be disappointed.
