CPU+MOBO+RAM Or a GPU? Please help me

Hello guys i have this pc

Specs :

RAM : 4GB
CPU : i3 540 3.06 Ghz
Mobo : foxconn h55mxv
GPU : GT 630 2GB

Should i do this upgrade :

Gigabyte H81M-S2PV
And Intel CPU Core i3-4160 3.6 Ghz
+ 2GB Ram
Or do this upgrade
Palit VGA PCI-X Nvidia GT? 750Ti 2Gb OC

What should i do? with my current specs i can play gta v 30-40 fps with some shutters
 
After going back and forth on which upgrade I would do if I could only do one of them, I have finally come to the conclusion that I would upgrade the video card.

However, having said that, you would then still have a 5 year old, 2 core CPU. And that is going to be part of the problem with modern games. So if there is any way you can afford a new CPU, memory and video card, I would do something like this:

1- Gigabyte H81M-S2PV
1- Intel i5-4460
2- 2GB DDR3 1600 memory
1- AMD Radeon R9 270

I used the motherboard you listed. I am not familiar with it, but you are, and since it does have the 1150 socket for Intel CPU's. I see no problem with it.

Your I3-4160 is still a 2 core/4 thread CPU. That is limiting to many modern games. Especially if you are looking for 60 FPS. I personally would upgrade to an Intel i5-4460, which on Toms Best CPU for the money list for April is the next step up from the I3 you want. The I5 gives you 4 cores to process those same 4 threads. It will run nearly all modern games at 60 FPS if you have enough memory and a video card that is capable as well.

And finally to the video card. I quoted Toms... "A recent price drop on AMD's Radeon R9 270 puts the Curaçao-powered card in range of Nvidia's GeForce GTX 750 Ti, and in all performance metrics, the Radeon is faster. The difference is going to be playable performance at 1920x1080 using mid-range detail settings versus one or two presets higher on the R9 270."

This is the final piece that will get you that smooth 60 FPS that you are looking for. In my opinion, it is going to take upgrading everything to play GTA V at a smooth 60 FPS, and you still might find some scenes where the FPS will drop a bit for a second or two.
