Would i need a CPU cooler if I'm not going to over clock?

Agreed - no need for an aftermarket fan on this CPU, unless you want something quieter. Not sure about ASRock, but Gigabyte MB's like to spin up the CPU fan full speed for the first few seconds on bootup, which is very noisy on the stock Intel CPU. For $20-30, you can get a much quieter fan.
