No, Windows is installed to a drive so replacing the CPU and motherboard is absolutely fine. All you'll have to do is reactivate Windows if you have an OEM copy.

You would only have to reinstall Windows if the computer encountered a motherboard driver BSOD at startup. Otherwise, you can swap the motherboard, uninstall the old drivers and install the new ones. A reinstallation of Windows is completely unnecessary.
