I'd say removing the cooler and throwing in a FX 4300 would be better. Unless you specifically want Intel.

I would recommend a Z97 chipset for overclocking.

It is recommended to have atleast 450W for your build, if you are planning to overclock i would at least get a 500W PSU. Also a Tier 2 minimum is highly recommended.
