You need to check on the motherboard's manufacturer site if that CPU is supported; it will work as long as it's on the CPU support list.

We don't know what motherboard you have, therefore it's up to you to verify if the Xeon is supported or not: http://www.delidded.com/lga-771-to-775-adapter/3/ If not, then you'll need a modded BIOS, i.e. a BIOS that adds the required microcode. It can be a fun project; worse that could happen is a bricked motherboard.
