Will Gigabyte or Asus H81M-s1 or H81m-s work on my pc?

I wanted to upgrade my PC p6120in. I wanted to know if Gigabyte or Asus H81M-s1 or H81m-s are compatible with my PC. And also will PSU be a problem? I am having e5200 right now and i wanted to upgrade to i3 4150 with my new mobo. i3 4150 actually uses 54W whereas e5200 uses 65W. I will be upgrading RAM to 4x2 GB RAM. I dont think PSU will be a problem since RAM doesnt use much power and new CPU uses less power than the older one. Just wanted to confirm that.Also does Mobo uses Power?

Yea , those motherboards will be compatible with your computer.
Also , these motherboards have microATX form factor ,so space won't cause problems.
As you stated the PSU will be enough ,if it's currently running your E5200.

I am having 250W PSU that does run e5200, 2x2 GB DDR2 RAM and Galaxy Geforce GT 730 1 GB GDDR5. I will be upgrading to Core i3 4150 and 4x2GB DDR3 RAM with my new Mobo .Does Mobo uses power and will my new motheboard support my Graphics Card and is that new Mobo good?
 
The motherboard won't use more power than your current model.
The H81M-S1 has PCIe 3.0 x16 slots , so it will be compatible with any PCIe x16 based GPU , including your GT 730.
The I3-4150 is factory locked by Intel, so those motherboards are great and cheap solutions for the processor.
I would go with ASUS , although this is just preference , both MOBOs will be great.

Actually at pcpartpicker I saw that some Intel H81M chipset motherboard require a BIOS update. Will that be a problem?
