Bad CPU, or poor upgrade planning?

I have an older Dell 530s (Vista) desktop, that I've decided to breath some new life into (cheaply) instead of building new or stripping it down. It's not used for anything other than light web browsing and business related tasks so I don't need a powerhouse. We have a separate gaming computer that handles that.

I ordered an Intell E8600 Core 2 Duo @ 3.33MHz. The 530s currently has a E2140 @ 1.60GHz so it was a decent upgrade and just below what the OE motherboard can make use of which I believe is 3.74GHz.

When I installed it, the PC would only boot up to the loading screen. I saw no issues in BIOS and it recognized the E8600. I ended up reinstalling the old dinosaur processor.

I don't have TOO much experience with PC upgrades, but I did some research and everything pointed to this being an okay upgrade for this junker of a PC. Did I possibly miss something? Or does it sound like a DOA processor?

Static was also not an issue.

I also tried to upgrade my RAM at the same time, also with no luck. Just beeps, pointing towards bad ram.

Yup, thats the problem, put the old cpu back in and update the bios.

Ive read some post about that specific mobo and stated 1333 fsbs will work.

More than likely, the e8600 is not compatible, the e2140 is on an 800mhz fsb, while the e8600 is on an 1333 mhz fsb. Lga 775 is a stupid socket, but most of the time, if the mobo has a cpu with a specific fsb speed, only cpus with that fsb speed will work.

But, what is the specific mobo.

I did some more research and I found a page that says I will need a BIOS version of 1.0.15 or higher, but I'm currently running 1.0.5 which I believe is the original version on this computer. Do you think that could be it?
