I wanted to install a new cpu cooler on my computer and I notice that my mobo had a back plate screwed on. When I went to remove the plate I notice that the screws were also holding the piece that holds the cpu chip tight. How am I suppose to install the heatsink? Or do I need a new mobo?

If the cooler requires a back plate on the other side of the board, that's what you will have to do. Install the cooler's back plate and the cooler on the cpu and tighten to hold both in place. Not too tight and make the thermal paste as thin as you can.
