As long as you have:
-500w PSU with two PCIE power cables that go in the card to give it the extra power it requires to run
-A motherboard that has a x16 PCIE slot
-A powerful CPU that won't be bottlenecked the card
Then your good to go

Sudip I would recommend upgrading to a new cpu + mobo. At least go for i5 4460, which is good in most of the games. You can keep your ddr3 ram.
Specify your psu.
If it is intex or any other low quality psu then you will require a decent psu to run gtx 970, which is a 145 watt card and requires two 6 pin power connectors.

OEM partners provide 6 pin and 8 pin connectors to support overclock more. But original Nvidia specs says it requires only two 6 pin connectors.
