They are identical except for clock speed. The 1246 has 100Mhz higher base clock speed. The 1246 has a built in graphics processor, so you could get by without a graphics card for a headless server.

I have no idea. I don't know how valuable $40 is to you. What percentage of the total cost is that? What would that $40 fund if not spent on the higher clock speed? You haven't really given me anything to value it against.
