To replace my AMD Sempron 145 with AMD Phenom X4

i have
AMD Sempron 145 2.8Ghz
NVIDIA GT520 2GB
4 GB RAM
I am thinking of upgrading my processor to AMD Phenom X4.will that upgrade worth it? i am unable to play gta5 can i play that after that upgrade?

The CPU upgrade would definitely help, but your graphics card is far too weak to play GTA V at a decent framerate. You'd also need a graphics card upgrade if you really want to play GTA V.

Probably 15-20 if you're lucky. The only way you'd likely be able to maintain somewhat playable framerates with a GT 520 would be to play at some ludicrously low resolution like 1024x768 and you'd probably need to download the Ultra Low Graphics mod, which disables a bunch of graphical features to make the game somewhat playable for extreme low end systems. The game will look absolutely terrible though if you go with that route.
