So i am going to upgrade from my GPU POV GTX 280 1Gb, i have no clue what GPU would be the best for my PC, was thinking about a GT 740 but i dont know. Any reccomendations?
SPECS:
Intel Core 2 Quad Q9550
ASRock g41c-gs (PCIE 1.1 i think, Dx10?)
4Gb DDR2
PSU 750W
Looking for a GPU up to 170$.

Solution
A 740 would be a downgrade. I would say that anything up to a R9 380 or a GTX 960 would be Ok. After that I would think the CPU would bottleneck.

R9 380, $189.99, $159.99 after mail-in rebate:

GTX 960, $194.99, $164.99 after mail-in rebate:

The R9 380 tends to be a bit faster. You should consider upgrading the RAM to 8gb of DDR3 as well.

Will a Gigabytte GTX 750 2GB work too?

A 750 Ti (the R9 380 is faster), but a 750 isn't very good for gaming. When using a discrete GPU, DX support is determined by the GPU, not by the motherboard.

Since you are at a $170 limit, here is what I suggest:

PCPartPicker part list / Price breakdown by merchant

Memory: G.Skill Ripjaws Series 8GB (2 x 4GB) DDR3-1333 Memory ($39.99 @ Newegg)
Video Card: Asus GeForce GTX 750 Ti 2GB Video Card ($113.98 @ Newegg)
Total: $153.97
Prices include shipping, taxes, and discounts when available

Note: The RAM would replace your current, you can't run DDR2 and DDR3 at the same time. The DDR2 would have to be removed and the DDR3 put into the other RAM slots.
