Nvidia recommends a 400w PSU. A high quality 350w may work, but what you have is a low quality 350w PSU. The VS and CX series are also well known for shutting down under load, usually after a few months of use when the low quality capacitors have degraded and they can no longer handle the load. They will also shutdown of they get too hot. I'd say it most likely a PSU probem

Thanks for the reply. Can you suggest me best PSU brand so i can go for it and let you know the result whether my issue is resolved or not.

Get a tier 1 or 2 unit, can use a tier if absolutely nessecary.

Thanks a lot bignastyid the issue was with my PSU as u suggested. I did replace my PSU and now all going smooth.
