I have dell optiplex 380( Intel G41 Chipset -775 Socket-DDR III core 2 duo ) it's motherboard got problem and it's warranty is over.. I just want to change motherboard only So which motherboard is most suitable to replace it? I see no same dell motherboard is available to buy... Plz help

Well, I suppose you could reuse the case, but replacing a motherboard usually means a completely new build.

They no longer make new motherboards for that chipset and have not for quite some time.
If you want to re-use your existing processor (you could do well with an upgrade by now), look on Ebay for someone parting out a Dell 380. Dell makes most of their stuff proprietary and you can't usually fit other boards and stuff in their cases or use them with their power supplies.
Otherwise, take your existing RAM and hard disk and ditch the motherboard and CPU and go for a Haswell motherboard and CPU.
