Please suggest the best graphics card for me

Hello,
I want to upgrade my PC starting with the graphics card. Please suggest the best one under 100$ if possible to get the best performance with this components.

Motherboard: Gigabyte H61M-S2P
Processor: Intel core i3-2120 @ 3.30GHz
Ram: Kingston 4GB 1333MHz DDR3
Graphics Card: Msi NVIDIA Geforce 9500GT
PSU : 400W

Side question : Do I need to upgrade the motherboard ? suggestions?

From Gigabyte website. It'll handle 1600 although you may need to set it manually. At worst, it'll run as 1333. Only reason to try for 1600 is its usually cheaper than 1333

PSU : EVGA 430W , Is it good?
What do you think should i upgrade next ?

What version of Windows are you running? If it's x86 (32bit) then 4Gb of ram is as high as you can go. If it's x64 (64bit) then a new set of 8Gb 1600MHz would be a good jump for many things. You could even sell the old 4Gb of 1333 and Mebe get $20 back on eBay.

Your motherboard is just fine for a locked Intel cpu, but a move to a Xeon 1230v2 would definitely give you options and help out with some games and software.

The largest single impact would be a SSD for your OS drive. Keep the hdd for mass storage, but a decent 120/128Gb SSD would work wonders.

I have windows 8.1 x64.

So, With the ASUS GTX 750Ti and a new set of 8Gb 1600MHz Ram + .... will it run the latest video games smoothly ? with very high settings ?
or I still have to upgrade anything else ?

Yes and no. The 750ti is at the bottom of what most consider a gaming gpu. It'll do well with simpler graphics games like CS:Go or LoL, but will struggle with the latest high intensity games. I have a gtx970 and even it gets to 99% usage at 1080p in some. What you'll be looking at is generally from low to medium, but with a $100 budget it's about the best you can do. Sorry.

With your psu, you are capable of a gtx960, which is a huge leap over a 750ti, but, it's also about twice your $100 budget. If you could get one used for $100, jump on that deal, its well worth the money.

unfortunately, I can't go higher than 100$ for the GPU as I need to buy a new set of Ram too.

BTW, Some people are saying that I cannot use the 1600 MHz Ram fully with this motherboard and the others say it's ok. I don't know who is right !

It's more confusing than I thought it would be. :/
