need help new ram isn't working

Hello,
So I recently bought 2x4 GB DDR3 1333 MHz memory, and I put it in the computer, but when I try to turn it on it just keeps restarting like every 8 seconds

pc specs:
cpu: Intel Core2 quad cpu q9300 2.50 ghz
mobo: Gigabyte GA-G41M Combo
580w power supply
3gb ddr2 ram (1x 1gb + 1x2 gb ddr2 800)

It works fine with the ddr2 memory, but when I try with the ddr3 it won't boot
yes I removed the ddr2 memory before putting the ddr3
already tried to remove the CMOS battery but the problem remains..

any help would be appreciated

What's the model of the DDR3, would guess a newer model and not compatible - most all DRAM today is made with high density (4Gb) memory chips, where socket 775 are compatible with low density memory ICs like those used in the original GSkill Ripjaws and NT lines of DRAM
