When replacing CPU + Motherboard, do I need to re-install OS on my HDD?

Usually any major changes to your hardware like a motherboard requires a fresh install of Windows, cpu not so much. Though I have tried running the old windows on the new hardware and sometimes it runs and detects the new hardware. First backup your important files and try running the new hardware on your old windows and see if it works.
