OEM/System Builder licenses are tied to the original motherboard. However, you can still try and get a new license from Microsoft. This is kind of hit and miss. That you're *replacing* your motherboard rather than upgrading is helpful since you can argue that it's not really a new PC, but the fact that this was a license that was preinstalled by Dell makes it a bit less likely (since technically, Dell's the one that can replace your motherboard if you were the "builder" here, not you). Microsoft keeps this in kind of vague territory, so you won't really know if you can get a new license or not until you try - you have a shot, but be prepared to have to buy a new copy of Windows.

Aaah! alright thanks for clearing that up! So as far as taking the processor from the Xps Motherboard and putting it into another one would that work?

You should not have any issues with the CPU. You can drop it into any compatible motherboard.
