New machine can't install Windows 7

I just upgraded my motherboard from a 7 year old AMD board to an Asus board quad core. I'm able to get into the BIOS and it recognizes the CD ROM and the WD 500G hard drive. When I try to boot from the windows setup disk, it will not run the setup program. The error message is tcpip.sys page fault in non paged area. There is already an existing windows installation on the hard drive and I understand that the setup program will just overwrite everything. I have already backed up all the data. I just need get the setup disk running. Why isn't this working? It said there were hardware errors. On what, the hard disk? The RAM? I ran a check on the RAM and it said there were hardware errors? DOes this mean the RAM is bad and is causing the error?

There is no windows yet to boot into. If you understand that when you install a new motherboard it will NOT recogize any previous windows installations on a hard drive. So it has to be reinstalled from the CD...
