Hi all.

First thing I need to mention is that I was using my laptop for last 5 years and after his matrix went down I built a pretty cheap PC and now I am looking to invest a bit more into it but don't know if it is good to do what I think i'll do so I really really need help.

My PC specs are:

CPU Q9300 @ 2.5Ghz
GPU GTX460 1Gb
4Gb DDR2 ram memory ( will upgrade to atleast 8Gb when my problem is solved )
Main board Asrock G31M-S
PSU INTER-TECH Energon 650W
HDD is old from my laptop really needs to be changed.

So my main problem is that I can't overclock my CPU with this MB ( max I can raise Bus speed is from 333 to 350 what gives me around 100 Mhz. Going any further won't let my PC start ).
And I am wondering if it is worth buy a new MB which supports 775 socket and then overclock CPU to at least 3Ghz and get new GPU like GTX560 Ti ? Or is it not worth to keep my CPU and I should immediately switch to a new I5 CPU ( I'm not building a heavy gaming station. Just want to play some new games at least at low settings ) ?

And last question, if i decide to keep my cpu, at what parameters I should look on MB so I would know if I can overclock my cpu to a good point?

Solution
Don't put money into LGA 775 socket motherboards; they are obsolete! Also, changing the motherboard and CPU will involve a new OS and costs associated with it. The old OS cannot be transferred per Microsoft's licensing terms.

The Q9300 is a great quad core processor! Use your present setup until you can budget for a new, more modern build.

I think you need a complete new pc, socket 775 is really really dead hard to find a good overcloking board. I would try to sell it part for part socket 775 is rare and so is ddr2 maybe this will give you the money you need. The old gtx 560 ti should run nice with you current build.

But if I do not want to invest a lot? If I am wondering to get a PS3 and just want to keep my PC at decent level for some games? Or I should just simply keep my pc at current state and go straight to PS 3 ?

Yes keep your current PC as-is - the quad core processor is a great processor. And get the PS 3 if you choose to.

In any event, do not put money on LGA 775 boards.
