The most important component when overclocking is the VRMs (Voltage Regulations Modules) the more there are, the more stable your overclock will be. The second thing to check is if these VRMs have a heat sink for AMD mobo, they are located around the CPU.

this MSI has 8+2 VRMs and big heatsink

The gigabit has 8+2 VRMs and fairly good heatsink.

In my honest opinion, both are equals as for single GPU + Overclocking AM3+ motherboard. I would go with whichever one i like the most.
