Windows 7 won't boot/install HELP

Hello there!
I have a PC sitting in the corner with this problem for a while. So when I boot the windows, the PC shuts down itself just when the "starting windows" logo comes. If I try to boot on safe mode, the PC loads files untill \Windows\system32\DRIVERS\amdkmpfd.sys, stays there a bit and then the PC shuts down. Version is Windows 7 professional 32-bit. The problem have been for a while.

As the processor being a 64bit, I downloaded from microsoft a new Windows 7 professional 64-bit .ISO file, made from it successfully bootable USB drive (using microsoft USB download tool), but when I try installing the Windows again, Windows loads files, and just as the "Windows is starting" logo comes up, the PC shuts down.

What could be a problem?
I have installed a new CMOS battery (as the PC alerted from it) and loaded factory BIOS.
I can go to BIOS etc. But I cannot do anything what will boot Windows in any ways, otherwise the PC will shut down.
I have upgraded the PSU from 275W to 300W.

CPU: AMD Athlon 64 X2 5200+ @ 2.7GHz w/ Stock cooler
RAM: 4GB DDR2
Storage: 80GB Western Digital HDD
Graphics: Asus radeon r7 240 2gb
PSU: 300watt (no model as I had taken them ages ago off for some reason, but the PSU works in other PC's)

I used to run the PC smoothly with the same hardware when the earlier PSU was 275w
