Worth the Upgrade? AMD X4 to FX-8350

I have a system with an MSI A78M-E35 Motherboard, AMD X4 760K Processor OC'd to 4.3GHz, Sapphire R9 390 GPU, 16GB GDDR3, and Corsair CX850M PSU. Is it worth it in terms of performance gain, to switch to an ASUS 970 Pro Motherboard and and FX-8350 CPU. Please keep in mind that I have an OEM copy of Windows. Will I get a performance increase large enough to justify the $360 Hardware and another copy of windows if necessary? Thanks in advance.

PS Will I need to purchase another copy of windows since I have the OEM version?

I certainly don't think so. If you are going to switch platforms, it really only makes sense to move to intel. The FX series is really starting to age. If you can wait for AMD's next CPUs, they might be better, but right now, FX is a dead end. For CPU light games, it won't make any difference. For CPU intensive games, you really want to go with intel.
If you bought the OEM windows copy, you can usually transfer it. If it came from an OEM, you usually cannot.
