They are both socket LGA1366 and both have 130 watt TDP so it should work fine.

It certainly works with my I7 920 since it's running now.
A note of caution before installing and older cooler, remove the old thermal paste that's on it and replace with fresh.
I didn't do that and had serious problems, such as not loading W7, pc turning off, error messages to check newly installed hardware.
