Although E3300 has less cache than E5200 and it is from Celeron, virtualization is supported on E3300, and interestingly E5200 doesn't. Their performance on stock speeds are similar. Which is better in overall and what are their overclocking capabilities? Any answer will be greatly appreciated, thx.

Wow, what year is it? /s

I used to have an E5200, and I was able to get it all the way up to 4ghz by bsel pad modding it. On a better board you'd be able to do that without going through that effort, I believe, if you had a decent cooler. Either way they should be about the same, though the additional cache on the E5200 will probably benefit you more than the virtualization. Really, both are a little too weak to really take advantage of that feature these days anyway.
