Sys2 - and fx 4300 ,4 gb ram ddr 1600, gigabyte motherboard, no external graphic card ,

want to run GTA 4 medium specs

Which one will be better or both will do the required work?

Neither one will make you happy at 1080p. But if those are the two choices, I'd get the FX-4300 and start saving for a discrete card. As they sit... the low end Athlon II x2 250 with even the low end 5450 will slightly out perform the fx-4300 with no card.
