Diagnosing hardware on my Pc help?

I'm having trouble figuring out what went out on my pc. I have an Asrock h61m-vg4 motherboard i bought new along with a Kingston 8gb ram 1333hz as well as a lga 1155 cpu which matches the motherboard socket type.. Each time i start up the computer the fans start up ( cpu, gpu, chas fans, etc) and the lights come on, but after about 5 seconds the computer resets itself. It continues doing this loop infinitely. I'm trying to pinpoint the source of the problem. I took out the ram and put it back and in and tried switching slots, no luck there. I also made sure the cpu socket was in right and it was. The psu itself is a pretty old 300 wat psu, however i've tested it out on other components and it worked. The load wattage my computer takes is under 250, so its well under the power supply limit. Its my understand that the only things that cause this loop of reset is cpu,psu,or ram related, however i've crossexamined these multiple times. Anyone experience a similar situation or have any ideas?

Are there any beeps when you start up? Have you seated the heatsink firmly on the CPU? Hard to say really, but you mention the 'pretty old' PSU, can't rule out the possibility of it being the culprit. The capacitors do age over time, thus making it tougher for them to provide the power needed. Throw new equipment into the mix, then it can be a bit tricky.

I'd be more inclined to say that this is a PSU issue, I've seen this before many times. The other possibily being the motherboard, which can happen in newly purchased stuff, but my finger is pointing at that old banger of a PSU you've got :p If you can borrow (I know, sounds weird) or buy a PSU from somewhere, a decent one, test it out and see how you fair.

If there are beeps though, count them and refer to your motherboard manual.

sounds good, one last question, where can i find the reference for beeps for my motherboard. its not on my manual .. http://asrock.pc.cdn.bitgravity.com/Manual/H61M-VG4.pdf

Ya i hooked it up with another psu no luck.. The cpu is a Intel Pentium Dual Core G630 SR05S CPU Processor

ya Is it possible to be the ram? I dissesambled everything and it didnt start the reset loop till i plugged in the ram. I hear no post beeps at all at any given time tho which leads me to believe it was the motherboard. Then i switched the motherboard out with another one that does actually post. And it kept beeping until i put the ram into it.. however it is a non-ecc ram which might not be compatible. The ram i got was specific for asrock's h61m-vg4, so testing all the parts on another mobo might've been redundant considering. I know there are so many variables being considered here that seem to be complicating it and im looking to draw a simple test. Simply stated " if the speakers never beep post on a mobo" then its the mobo right. I've tried 2 different speakers for post.
