Can I put a modern Micro ATX board in a Pentium 4 case?

I have an old Compaq Evo D300V that I have gutted and want to put a more modern micro ATX board in. The board I'm planning to use is a DG31PR which is a LGA775 Micro ATX board. The standoffs in the case seem fine except for four brass standoffs that were under the CPU cooler and an assortment of rubber pads. Should I remove the pads? Pads are not important.
you might need to do some work on CPU mounts (remove the old ones).
But i was able to fit a "modern" MB into much more custom HP xw4xxx cases.
