No, the Deepcool only supports LGA 775 and higher sockets, the Xeon is LGA 771 and the hole spacing is different.

If you have an LGA 775 motherboard (remember the issue is with the spacing of the holes not the shape of the socket) then it will work.
As for performance I wouldn't push that much of an overclock with it. It may work however it only has 2 heat pipes I just don't see it having enough. The Coolermaster Hyper 212 EVO has 4 heat pipes and should perform a lot better.
