Kernel error 441, please HELP IM DESPERATE

Hello i bought my laptop from msi about 2 months ago and ive been getting "nvidia display driver has stopped responding and has recovered" almost every time i start my computer and ill bsod and then go into a reboot loop for about 5 times and then i can use my computer.
i have tried:
- using drivers on msi's website
-re downloading latest drivers with clean install in safe mode
- and any other thing i could find (creating my own power plan, changing my gpu power plan disabling fast start up, updating bios/firmware and soooooo much more)
but no luck at all

After looking farther into it (through my crash logs) i found i would get kernel error 41 which means my gpu ran into an error it couldn't recover from and restarted. Then looking into what that problem was i found out it was kernel error 441 which is what it cannot recover from and whats been giving me my bsod (error down bleow and the pic\\ven things is just a gtx 970m)

Anyway im not sure if this is a driver or hardware issue or whatever but something i did find weird is i get the error a lot less when i disable nvidia wave (sound driver)

Ignore the power error 41 it will happen. With any shutdown that did not complete. Ie bug check or power failure.
You had two devices with a status error of 0. This generally means success is ignore these two errors.
The last error 0xc0000719 STATUS_CONTEXT_MISMATCH is the o e to focus on. But the fact that the system thinks the device is not present means you need to reset the bios and re configure. This will rebuild the list of hardware that the bios passes to windows. I would then go and disable any unused sound sources via control panel. I assumed you have all ready applied the motherboard driver updates. If the problem is not fixed then set your memory dump to kernel and put the next memory dump on server, share the file...

hey sorry i took so long to reply, i will try this and get back to you, but i really appreciate that you're doing this for me (helping out) ive been trying for weeks and i just am at a loss so any form a solution is a miracle

Alright, sorry to bother you but it came back, so i did what you said and set my memory dumps to kernel and i got the 4 most recent ones that forced me into a restart loop until my laptop could "function" hope you can help and if not thats ok, at least you tried , thank you

most likely the old msi overclocking driver will the most likely cause of these problems.
(bad overclock voltages applied by the driver)

your cpu came out in june of 2015, you have a old overclocking driver from 2012.
MSI Afterburner driver
remove:

this is the intel overclocking driver you should also remove it until your system is stable.

sorry to bother you again, i updated the mobo drivers, and deleted all files from the super charger folder, and unistalled the intelxtu over clock program and the problem still presisits heres the new dump files

be sure to update these drivers for windows 10:

(make sure this is the correct motherboard)

the audio driver update for the motherboard could be the fix for both of the below bugchecks.
you have the windows generic audio driver for your motherboard installed rather than the custom one provided on the website.
audio conflicts can cause your gpu audio support to crash your GPU.



second bugcheck was also in the nvidia driver but its stack is corrupted. This often happens with audio driver conflicts between the GPU sound support and the motherboard sound support.
you would update this file:

best to get the update from your motherboard vendor but you can also try the chip vendor:

last bugcheck was a graphics driver not responding, the system tried to reset the hardware but it did not reset and a error was returned.
the error code was 0xc000009a which means: Insufficient system resources exist to complete the API.

the system thinks it is out of memory. system uptime was 2 minutes 51 seconds.

you would have to provide a kernel memory dump in order to figure out why the system thinks it is out of resources.
change the memory dump type to kernel https://community.sophos.com/kb/en-US/111474
put the file c:\windows\memory.dmp on a server when you get the next bugcheck.
Then post the link.

you could also download poolmon.exe from the windows ddk, find the pool tag that is using all of the resources, look up the name in pooltag.txt to find out what component has the problem. I would guess it is going to be a network driver bug messing with the nvidia shadowplay or shield driver.
you could also just disable those two nvidia services and see if you still have the problem. They tend to be very sensitive to network driver bugs.
