Cooling on the PNY card looks decent and it is at a premium. A premium 3GB doesn't make much sense to me. Overclocks are about 10% and you'd be that going to a 6GB card. Or rather, I'd opt for a single fan version of either version unless you are concerned about fan noise. You'd probably do OK overclocking on either too.
