Motherboard failed..after PSU failed..??

I'm stumped this time..

Long story long.. anyhow..

My system shut down in the middle of the night after 2+ years of running awesome and would not not turn back on..
Tested my PSU and sure enough it was dead (Corsair 500w 1.5 years old)
Got a new Corsair 750w and system would still turn off and on every 1 to 2 seconds, no boot , bios nothing, just off and on etc.

So figuring my motherboard was fried, I Rma'd it back to Gigabyte and they said they found no issues with it with multiple configuations.. and sent it back to me..

So, I reseated my processor, with new arctic silver, (cpu fan working, tested on another system) and still same thing..would go off and on every second..

Pulled my videocard, swapped with my backup card..same deal.. pulled memory sticks one by one, unplugged every other component one by one..same deal...

I'm stumped, maybe the mobo is bad, despite gigabyte saying it tests good?? Or is it the CPU?? I know it's unlikely the CPU..

Please, anybody have any idea???
Should I RMA my cpu? or challenge Gigabyte that the mobo really is dead?

It's possible for a bad PSU to take out a CPU without taking out the motherboard, although usually both are toast. I would contact Gigabyte, explain the circumstances, and let them know that if a replacement CPU doesn't rectify the situation, the board will be going back to them. Then I would RMA the CPU.
