MSI GeForce GTX 750 Ti lag

So i bought MSI GeForce GTX 750 Ti, installed it and i have less fps than my old geforce gt 440, how is that possible? Drivers are up to date

Processor: Intel core i3 CPU 540 @ 3.07GHz (4CPUs), ~3.1GHz
GPU old one: GeForce GT 440 1gb
RAM: 2x2gb (4gb)

Uninstall the nVidia drivers, run DDU to wipe them fully, check for a BIOS and chipset update for your motherboard, then install the new card and drivers from nVidia site, check things again.

my friend said my cpu old as fck, no wonder it lags.

it is old, but the new GPU should still get you more FPS, except in games where the CPU was already the limiting factor.

Yes, you have a first gen i5, but the issue is that you are seeing less FPS on the new card. If you have a CPU bottleneck you would at least see the same. Unless you are talking about 28 now vs 30 before or changed game settings. If the difference is small it may just be a variance, nothing to worry about.
