Motherboard upgrade need help

Hello, so after countless hours of anger because my pc is too slow i have decided to make a change in my life. That change is upgrading my motherboard (yes i know upgrading your mother board won't give you more speed but you know what will? RAM!) My pc specs are:
Gigabyte g31m-es2l mother board
2GB DDR2 RAM
Intel Pentium Dual Core E5500 2.8GHz
Nvidia GT 730
PSU= 400W
After looking up in the internet i noticed that DDR2 RAM is much more expensive than DDR3 so i was thinking of upgrading my motherboard to get more and cheaper RAM
My budget is low that's why i want to know will :ASRock 970 EXTREME3 R2.0 and 2 sticks od DDR3 4GB ram + AMD FX-4300, Quad Core, 3.80GHz, 4MB, AM3+, 32nm, 95W, BOX would work
I know that it would be better just to get a new pc but since i have a budget only for 200 i thought i would get more if i'd just upgrade.

So I would really appreciate if you guys would take a momment from your time and helped me.

You may check out the intel i3, like 4th or 6th gen one. But recommend to buy the i3 6100 one.

I really appreciate your help, and really like the 2nd option, but i have another question my PSU is kinda ancient (Codegen 400W 400x) is it necessary to get a new one?

Yes after reading i learned, that it's just another chineese ripoff, but since i won't have extra 40 euro. Would my current PSU (which I used for 6 years, heavy usage 2 days non stop sometimes) be a big threat to my new hardware untill i get a new one? (like in 2/3 months)

 
That is good question. Usually when the PSU is going to die, it will die instantly. Also you used it for 6 yrs, so nobody will know how far it can go, keep in mind the PSU warranty is usually like 3-5 yr. So I recommend get enough budget to buy the whole thing: cpu+MB+RAM+PSU.
