Computer won't start After CPU Upgrade

Hi! I recently just bought a modded LGA771 Intel Xeon(R) E5450 to fit in my Gigabyte GA- G41M-Combo (rev 1.3)LGA775 Motherboard running on Windows 10 Pro 64-bit.
I have updated my bios and installed it correctly. But I can't turn it on!
The whole computer just shuts down the whole power all a sudden. Sometimes it loads the bios fine sometimes it cant even reach there and it reaches to the windows logo occasionally.
When i put back my previous Pentium(R) E5700 it worked perfectly as before. Please help. Thanks!
Specs-
Gigabyte GA-G41M-Combo(rev 1.3)
Intel Pentium(R) E5700 dual core(old)
Intel Xeon(R)E5450quad core(new)
2x2GB ram DDR3 one double sided one single sided
Sapphire Radeon HD6670
Powerlogic PSU 450w peak

You could try more voltage as that model requires more than CPU's on the motherboard. check your voltage in bios to see if its below 1.3v. If so give the smallest increase possible until it works or hits 1.325v. If you go over 1.325 volts it could be to much for your cooling. I suggest stopping there and then I would guess the CPU is bad.

With this moded CPU did you cut the tabs off your 775 socket correctly? If not the CPU will not align correctly.

Yes it fits perfectly it even turns on and bios showing it fine. But I have wobbly Heatsink does it affect it?
I did my research before purchasing it they say the G41 M- combo fits perfectly

Wobbly heatsink - major red flag. My guess is it isn't sitting on there enough to provide effective heat distribution and it is getting too hot and shutting down. You need to figure out why it is not on there correctly and fix it.

The clips kinda chipped and some out of place maybe because its been around 5 - 6 years. Some of the clips can't even be locked after been pushed into the hole. But I put back the old E5700 on with the same heatsink and it worked. Maybe because it produce less heat?

The CPU is locked well in place not a single movement can be done. But the heatsink has only the 1 of the corner clips that is working. The rest wont stay put or get locked or go into the lock holes. Should be getting a new heatsink asap.
I will get back here if it's not the solution. Thanks guys!

I changed to a new heatsink
Now the pc is stable still stuck at the logo
When i plugged in the usb for the clean install it also hangs there
Should I put the old processor for the clean install?
Could it be the processor failed?
