Upgrading from 920 to 970

Will my same cpu cooler work? It's water cooled and I don't want to have to change it. And will it work with my board also?

Why a new CPU? I would more say your problem is the CPU cooler. I7 920 can hit much better OC than 3.2 GHz. Most are good for atleast 3.6 Ghz and many is capable of hitting 4 GHz or more. Have one my self running 4.1 GHz daily (it can hit 4.4 GHz, but gets to hot for my aircooler) and have done that for 4 years now and still going strong. Unless you are extremely unlucky, your cpu can more that just 3.2 GHz. I hit 4.1 Ghz with aircooling.

What i am trying to say is when it comes to oc on an I7 920. You are only on the top of the iceberg.
You are going from 2.67GHz to 3.2GHz native clock speed. The 970 can boost to 3.46GHz. The amount of heat increase is hard to say because you need to factor in efficiency of your cooler and quality of your thermal paste. I wouldn't be surprised to see a 10C increase on average and I am just spit-balling that... not knowing other variables nor your current ambient temperatures.
 
I mean, it should be fine. It will run a little warmer but you should be just fine with it. Your idle temp won't change much...1-3C or so. You loaded temps could increase by about 10C which does approach an uncomfortable zone(80C+) for these CPUs. No way to know until you try it. I personally think it will do just fine. I also personally think you are not going to notice any game changing differences in between these two CPUs. It will do a few CPU intensive things just a little bit faster. In games you won't see much of a difference in FPS.

You could OC your 920 to 3.4GHz very easily to see what your temperature profile is. The 970 might be a just a little better than that but it might just be identical to a 920 @ 3.4GHz. Pretty much every i7-920 can hit 3.5GHz no matter what silicon you ended up with.
