What is your old hardware?

Be aware that your Windows may need to be activated again because you are changing the motherboard. Changing the motherboard usually leads to needing a new copy of Windows unless the user has a retail license. Still.... But there may be a silver lining. I was told about it with a link regarding Pro versions. This http://www.howtogeek.com/226510/how-to-use-your-free-windows-10-license-after-changing-your-pc%E2%80%99s-hardware/ speaks in more general terms.

As long as your RAM is "DDR3...

Yes, both the MSI Gaming 5 and BIOSTAR TZ68A+ support DDR3 Ram memory. So you may use the memory form your old board in the new one.

As long as your RAM is "DDR3 3300*(*OC)/ 3200*/ 3100*/ 3000*/ 2800*/ 2666*/ 2600*/ 2400*/ 2200*/ 2133*/ 2000*/ 1866*/ 1600/ 1333/ OR 1066 the RAM can be transferred. The rest of the components shouldn't have any issues. I have a 4690K, 8GB 1866MHz RAM, 970 FTW on a MSI Z97 PC Mate. Love gaming with it.

Not an optimal setup. If it did work they would all run at 1333MHz unless you manually matched the slower sticks to the faster ones through the overclocking section in your BIOS. Mixing RAM speeds, timings and voltages is always a bad idea.
