Upgrading from hd5770 to gtx960

I've been running my old hd5770 on a thermaltake tr2 420w PSU (one of the worst quality PSUs out there I know) for 2 years now while the manufacturer recommends 450w. The card has a TDP of 108w while the gtx 960 has a TDP of 120w and the manufacturer recommends only 400w PSU.

I'm a bit confused 120w TDP requiring 400w PSU and 108w TDP requiring 450w. Should I be concerned if upgrading? I mainly aim for the 960 because I don't want to spend any extra on a PSU, although my current one sucks.

My other specs:
Q9400 @2.66(stock, so max TDP is 95w)
8gb ddr3 ram
1tb HDD
3x low RPM fans that came with the case

I don't plan on OCing the CPU since the motherboard does not allow me anyway.

TDP is Thermal Design Power ie. how much heat energy can produce/dissipate . It's not in direct proportion to electrical power used.
PSU power (Electrical) is in electrical Watts, nothing to do with TDP. What's needed to know is Amperage GPU requires and how much a PSU can produce on given (PCIe) branch. It needs 12v and amperage to match.
