gammaxx 300 on matx w/ ram?

It looks like it *should* fit. Here is a link to a video of a guy using the same cooler:

His motherboard is different, but after some research, it appears the clearances with the RAM are comparable between the two boards...meaning the distance from the socket and the DIMM slots are roughly the same on his mobo as on yours. His ram has heatsinks which look to be similar in height, but he clears them to the side without too much issue, so the height is not a factor. Of course, not having your board and cooler in my own hands to see, this is all speculation resulting from research and available information on line...The reality is is that there may be a difference of a millimeter...

I imagine that if you do have issues, you could return the cooler for one that fits seeing how it would be unused.
