Available memory lesser than installed

I've upgraded my RAM from 3 GB to 4 GB and now my available memory is 3200 MB (according to POST and Ubuntu) yet the BIOS says the installed memory is 4096 MB. I was trying to set the frequency yet instead of the usual DDR2_800 and DDR2_667 i got DDR2_144 and DDR2_120. I fixed this by removing the CMOS battery and placing it back but my available memory is stll 3200 MB.

I tried both modules on a different motherboard and there were no problems. My questions is this: is my motherboard the problem, or is there something else (maybe CPU or the PSU)? Please note that I am on a budget and can only replace one of the three. IPDT test passed except for SPBC and BrandString.
