The more expensive one is sold by OutletPC. It is also an OEM processor, not meant to be sold in retail channels (and probably doesn't come with a heatsink and fan). OEM parts are meant to be sold in bulk to system builders like Dell and your corner custom-built PC store, and usually comes with no warranty (the builder is supposed to handle any warranty claims if it breaks).

The cheaper one is the retail boxed processor, with heatsink and fan. It is sold by Newegg. It is actually what you want to get if you're building this for yourself. So you're fortunate that it's cheaper.

The difference is that the $149 is sold by newegg, and the other by third party seller (in this case outlet PC).

Now what is the situation around this as buying into AM3 now is a huge waste of money. Even a $100 intel chip can beat this CPU in most games.
Not to mention that if this is an upgrade then many AMD boards either struggle to OC this properly or flat out dont support it at all.
