is the Intel Core i7-2600S Quad-Core Processor 2.8 GHz 8 MB Cache a good replacement for the Intel Core i3-2120 Dual-Core Processor 3.3 GHz 3 MB Cache? running on gtx 750ti, windows 7, 64 bit, and using a msi ph61a-p35 motherboard

The i7-2600S will be fine, just make sure that your BIOS is up-to-date like @Lutfij said. Personally, if given the choice I'd pick the i7-2600 over the 2600S, & I'd really consider dropping in the i7-3770 if it's available.
likely need to get v20 of the bios to run I7 as per details below.
