PC not shuting down need Advanced help

Board is : GA-M61SME-S2 (rev. 2.0) originaly with bios version F2 - this is site I used : http://uk.gigabyte.com/Motherboard/GA-M61SME-S2-rev-2x#ov
I have this weird problem after flashing bios to version F9 and upgrading cpu + ram. I went from athlon 4000+ and F2 bios version of gigabayte board to F9 and x4 9550 , and I put one stick of ddr2 4gb samsung memory which works only on AMD boards.

Basically every time I go to shutdown in win 7 32bit ultimate it goes off normally and after one second it's turning power back on and starting windows .
I am definetly sure this problem is related to bios because I tried clean install of windows, did everything I could find on google involving registry tweaks, power plan tweaks,.. etc. I even unpluged everything except power cable and monitor cable and it still power on after shutdown.
I have also tried to restart bios, even got new bios battery, load optimize defaults, load fail safe defaults, tried to turn off some of motherboard features to allow wake up from modem and some other sources like mouse and keyboard and usb ports ...
Also worth mentioning is that CD/ROM is making some click sound before it brings verify dmi pool data screen for about 10seconds and both leds are constalty on ( green for cpu and orange for HDD usage ) . I tried unplagging cd/rom but it didn't help, it was only without sounds but screen was still delayed for 10seconds. And it won't boot after unplaging CD/ROM it says on DMI Pool data - DISK BOOT FAILURE, INSERT SYSTEM DISK AND PRESS ENTER even tho eariler in bios it's showing up hard disk on Master 0 and also DMI Pool data showing HDD. They are connected with PATA cable single cable leading to ATA connector on motherboard. I tried puting back old cpu, moving ram from one to another slot and all failed to shutodwn...
The only way to shutodown computer complety is via pressing power button (long press) and Q-Flash utility has shutdown option which is somehow working it shutdown computer normally .

I downloaded all bios files from offical site of motherboard and flashed it with flash drive from bios with Q-Flash utility. Even tried beta version of bios F10a but that didn't help eaither. I can't use old version of because this new processor is not supported. Anyone has some more ideas on what to check ?

PS: Also tried with old processor and there was same problem. Everything is plugged in corectly on motherboard.

Actually I found solution within power options in BIOS settings I tried disabling one by one and one of them worked or maybe setting HPET MODE to 64bit or something idk .... Stupid problem this bios is not good for sure was bugging me for 6 hrs now ..

if you go into the bios you can change the boot order and get around that error

check if the wake up lan is on....enter UEFI BIOS and go to Settings -> Advanced. Next go to Wake Up Event Setup. Inside you should find an option that will allow you to disable wake up event on LAN. Restart Windows, shut down the computer and see if it works.....

have you tried a new motherboard?

Tomorrow I will get other motherboard and try on it. There is not UEFI bios because this is outdated hardware, but I turned off every option that envoles some kind of waking up and giving power to PC but lan, usb, modem... etc . Boot order was set correctly first boot device was HDD and second two were disabled but if left to cd and floppy drive it made no difference.

Restoring envoles going back to old processor and old bios and I got this build to upgrade it's pc and ram so no purpose in going to old parts
