Upgrade to 3570k causes boot loop on GIGABYTE Z68X-UD3P-B3

Hey,

I have quite an old rig:
CPU: Intel Core i5-2300 (Sandy Bridge-DT, D2)
Motherboard: GIGABYTE Z68X-UD3P-B3
Memory: 8192 MBytes @ 667 MHz, 9-9-9-24
- 4096 MB PC10600 DDR3 SDRAM - G Skill F3-10666CL9-4GBNT
- 4096 MB PC10600 DDR3 SDRAM - G Skill F3-10666CL9-4GBNT

A friend of mine sold me his old GTX 780, so I decided to upgrade the CPU as well - bought a 3570k on ebay. Got it this morning, all excited went to buy thermal paste, installed it and... boot loop! Couple seconds on, couple seconds off. Googled it, got a dozen of links to here, obviously, went through most of'em.
Removed everything but one memory stick, reseated the CPU... nothing. Returned to the old 2300 - works. 3570k again - boot loop.
I don't have mobo beeper or LED, so it makes it even more "fun"...

Took the 3570k to a friend with Gigabyte GA-Z77-D3H - works! So it's not the new CPU.

I took out the bios battery and letting it "dry" for now, will try again in the morning.

Intel says that 3570k supports both 1333 and 1600, but could it be caused by the fact that my memory is 1333Mhz? I ask because on friend's GA-Z77-D3H there's a 1600Mhz memory.

Please help me figure this out.
