I am replacing a Sempron 145 which has fan with AMDFX4100. There is a stock cooler witth the FX but do I need to replace cooler system already installed.

In a word, yes. You will have to remove the Sempron's cooler to get the cpu out of the socket anyway. And the FX4100's cooler will likely be a higher capacity cooler which it needs.
