Just wondering if this its a good upgrade to go to the i5 4570 from the phenom 840. There is a guy selling a maximus vii with the i5 4570 and 16gb ddr 3 ram for 220.

It will be a significant upgrade. The Phenom II X4 840 is a much weaker CPU and it can severely bottleneck a modern graphics card if playing games is important to you. Below is a CPU performance chart for Fallout 4 which is a pretty CPU intensive game. Bethesda games typically runs better on Intel CPUs compared to AMD CPUs; although AMD's new Ryzen CPUs are comparable to Intel CPUs. All the CPUs are paired up with the GTX 980 Ti GPU. The Phenom II X4 840 would be less powerful than the AMD FX-4320.
