If it's a Steam copy, try verifying game file cache integrity, and make sure DirectX is installed. Also try disabling the Steam overlay.

You never listed your sys spec either, so I don't even know if your hardware is capable of running the game.

Disable Exclusive Fullscreen option

Disable any "RAM optimizer" or "Game Booster" programs you may have (generally get rid of the bloatware running)
