Honestly, you don't need a 212 EVO for your rig. The CPU is locked and the 212 EVO will not help you at all with performance. I would not spend money on the 212 EVO and get a game instead.
But yes, it will fit and you wont have any trouble with your RAM. Here is the link from Cooler Master that specifically mentions the 212 EVO.

Some, but you could move the LED fan to the 212. But it would still give a nice glow where it is.
If you like LED, just get the LED 212 EVO. Then you will have another LED fan.

Yes, you want your CPU cooler to be pushing the hot air to your exhaust fan. Keep an fan on the exhaust so it will push hot air out of the case. There is an arrow on the fan of the 212 evo and it will tell you what way it blows. just point the arrow towards the exhaust fan.
